These Terms of Service (“Terms”) govern your access to and use of the AlphaGoat website, trading terminal, mobile applications, software, APIs, signal-processing functionality, order-management tools, and related services (collectively, the “Service”).

1. Nature of the Service

AlphaGoat is a software technology platform that provides tools for interacting with accounts maintained by users at supported third-party cryptocurrency exchanges.

Depending on the functionality available to you, the Service may allow you to:

connect your own third-party exchange accounts through exchange-provided APIs;
view account balances, positions, orders, market data, and related information;
create, submit, modify, and cancel trading instructions;
manage leveraged and derivatives positions;
configure take-profit, stop-loss, DCA, risk-management, and other order-management parameters;
configure conditional software-based trading logic, including soft stop-loss functionality;
submit trading signals or trading-related text for automated parsing into structured data;
use other trading workflow and account-management tools made available by AlphaGoat.

AlphaGoat is non-custodial.

AlphaGoat does not hold, custody, receive, deposit, withdraw, or otherwise take possession of your digital assets or fiat currency.

Your assets remain in accounts maintained by third-party exchanges selected and controlled by you.

AlphaGoat does not operate a cryptocurrency exchange, matching engine, brokerage, custody service, or liquidity venue and does not act as a counterparty to your transactions.

2. No Investment, Financial, Legal, or Tax Advice

AlphaGoat provides software and technology tools only.

AlphaGoat does not provide investment advice, personalized financial advice, portfolio management, legal advice, tax advice, or any recommendation that a particular asset, trade, strategy, leverage level, exchange, or transaction is suitable for you.

Information displayed by the Service, including parsed trading signals, market data, risk calculations, position metrics, trading interfaces, stop-loss levels, take-profit levels, or other trading-related information, is provided for software functionality and informational purposes.

Nothing provided through the Service constitutes an offer, solicitation, endorsement, recommendation, or guarantee regarding any financial instrument, digital asset, trading strategy, or transaction.

You are solely responsible for your trading decisions.

3. Eligibility

You may use AlphaGoat only if:

you are at least 18 years old;
you have the legal capacity to enter into these Terms;
your use of the Service is lawful in your jurisdiction;
you are legally permitted to use the relevant third-party exchange and trading products;
you are not prohibited from using the Service under applicable sanctions, export controls, or other laws.

You are responsible for determining whether cryptocurrency trading, derivatives trading, leveraged trading, or any other functionality available through AlphaGoat is lawful in your jurisdiction.

Availability of a feature in AlphaGoat does not mean that the feature is lawful or appropriate for use in every country or jurisdiction.

4. Your AlphaGoat Account

You are responsible for maintaining the confidentiality and security of your AlphaGoat account and authentication credentials.

You are responsible for all activity performed through your account unless caused by a breach of AlphaGoat systems for which AlphaGoat is legally responsible.

You must provide accurate information where required and must not:

impersonate another person;
create accounts for fraudulent purposes;
share access in a manner that creates a security risk;
attempt to bypass authentication or security controls.

You must promptly notify us at [email protected] if you believe your account has been compromised.

We may require additional authentication or verification where reasonably necessary to protect your account or the Service.

5. Connected Exchange Accounts

AlphaGoat allows you to connect accounts maintained with supported third-party exchanges.

You may connect only accounts that you own or are legally authorized to control.

Third-party exchanges are independent services and are not controlled by AlphaGoat.

By connecting an exchange account, you authorize AlphaGoat to communicate with that exchange through the permissions granted by the API credentials you provide.

Depending on the permissions granted, this may include authorization to:

retrieve account information;
retrieve balances and positions;
retrieve order and trade information;
retrieve market data;
submit trading instructions;
create orders;
modify or cancel orders;
manage positions.

You remain solely responsible for configuring the permissions associated with your exchange API credentials.

6. API Credentials and Withdrawal Permissions

AlphaGoat does not require withdrawal permissions to provide its trading functionality.

You should not provide AlphaGoat with API credentials that permit withdrawals or transfers of assets.

Where technically possible, AlphaGoat may refuse or restrict connections using credentials that include unnecessary or unsafe permissions.

AlphaGoat will never request:

your exchange password;
wallet seed phrases;
wallet recovery phrases;
private blockchain keys;
authentication codes intended for another service.

You are responsible for configuring appropriate exchange-side security controls, including IP restrictions or API permission restrictions where supported.

You may revoke AlphaGoat's exchange access at any time by deleting or disabling the relevant API credentials through the applicable exchange.

7. Trading Instructions and Order Execution

When you submit a trading instruction through AlphaGoat, AlphaGoat may transmit the corresponding instruction through the API of your connected third-party exchange.

AlphaGoat does not itself match, clear, settle, or execute trades.

Orders are accepted, rejected, matched, filled, partially filled, cancelled, and settled by the relevant third-party exchange under that exchange's rules and systems.

An order displayed as submitted by AlphaGoat may:

be rejected by the exchange;
execute at a different price than expected;
execute partially;
remain unfilled;
experience latency;
be cancelled or modified by the exchange;
fail due to exchange, network, API, account, margin, position, risk, rate-limit, or technical restrictions.

AlphaGoat does not guarantee execution at any particular price or time.

Information shown in the AlphaGoat interface does not override the official state maintained by the connected exchange.

If there is a discrepancy, the records and actual position state maintained by the applicable exchange will generally determine the state of the exchange account.

8. Conditional Trading and Soft Stop-Loss

AlphaGoat may provide software-based conditional trading features, including soft stop-loss functionality.

A soft stop-loss may monitor market information and submit a trading instruction when configured conditions are satisfied, including conditions based on the close of a candle on a selected timeframe.

By enabling a software-based conditional trading feature, you authorize AlphaGoat to submit the corresponding trading instruction if the conditions configured by you are determined by the Service to have been satisfied.

Such an instruction may be submitted without an additional confirmation at the moment the condition is triggered.

A software-based soft stop is different from an exchange-native stop order unless the Service explicitly states otherwise.

Its operation may depend on:

continued availability of AlphaGoat infrastructure;
availability and accuracy of exchange market data;
availability of exchange APIs;
network connectivity;
correct synchronization of market and account information;
exchange rate limits;
availability of sufficient margin or position size;
other technical conditions outside AlphaGoat's control.

Accordingly, a soft stop-loss is not a guarantee that a position will be closed at the configured level, immediately after a candle close, or before liquidation or additional loss occurs.

Price gaps, rapid market movements, exchange outages, API failures, latency, partial fills, insufficient liquidity, liquidation, or other circumstances may cause execution at a materially different price or prevent execution entirely.

You are responsible for understanding the difference between exchange-native protective orders and AlphaGoat software-based conditional tools.

9. Signal Parsing and Artificial Intelligence

AlphaGoat may allow you to submit trading-related text for automated extraction and conversion into structured trading information.

Signal parsing may identify or attempt to identify information including:

trading symbol;
direction;
entry parameters;
stop-loss level;
take-profit levels;
DCA levels;
risk parameters;
timeframe;
soft-stop conditions;
other trading instructions.

Signal parsing may use artificial intelligence and third-party AI infrastructure, including OpenAI.

AI-generated or automatically extracted information may be incorrect, incomplete, ambiguous, outdated, or inconsistent with the original signal.

Possible errors include, without limitation:

incorrect asset identification;
incorrect long or short direction;
incorrect decimal placement;
incorrect price;
incorrect stop-loss;
incorrect timeframe;
missed conditions;
incorrect interpretation of informal or ambiguous language.

Signal parsing is a data-processing convenience and does not constitute investment advice or verification of the underlying trading signal.

You are responsible for reviewing parsed information before using it to create or submit a trade.

You must not submit passwords, API secrets, wallet private keys, authentication codes, seed phrases, or other unnecessary confidential information through the signal parser.

10. Market Data

Market prices, charts, candles, volumes, account values, profit and loss calculations, funding information, position metrics, and other market-related information may originate from third-party exchanges or other external sources.

Market data may be delayed, incomplete, inaccurate, unavailable, or inconsistent between sources.

AlphaGoat does not guarantee the accuracy, completeness, timeliness, or uninterrupted availability of market data.

You should not rely on AlphaGoat as the sole source of information in circumstances where independent confirmation is appropriate.

11. Trading and Leverage Risks

Trading digital assets involves substantial financial risk.

Trading leveraged products, perpetual contracts, futures, or other derivatives involves additional risks and may result in rapid and substantial losses.

Risks include, among others:

market volatility;
leverage;
liquidation;
slippage;
insufficient liquidity;
funding costs;
exchange insolvency;
API failures;
system outages;
market-data errors;
regulatory changes;
cybersecurity incidents;
execution delays;
unexpected exchange behavior.

Leverage can magnify both gains and losses.

A stop-loss, including a hard stop or soft stop, cannot guarantee a particular maximum loss.

You are solely responsible for deciding whether any transaction is appropriate for you and for determining position size, leverage, risk limits, and other trading parameters.

You should not trade funds you cannot afford to lose.

Past performance does not guarantee future results.

12. Third-Party Exchanges and Services

AlphaGoat integrates with third-party products and services.

These may include cryptocurrency exchanges, authentication providers, artificial-intelligence providers, infrastructure providers, payment providers, and other technology providers.

Your use of a third-party service may also be governed by that provider's terms and privacy policies.

AlphaGoat does not control third-party services and is not responsible for:

their availability;
their financial condition;
their security;
their market integrity;
their regulatory status;
their account restrictions;
their execution quality;
their API behavior;
their policies;
their losses or failures.

AlphaGoat may add, remove, suspend, or modify an integration at any time.

13. Exchange Eligibility and Restrictions

You are responsible for complying with the rules of every connected exchange.

AlphaGoat does not represent or warrant that a particular exchange, asset, derivatives product, leverage level, or trading feature is available or lawful in your jurisdiction.

You must not use AlphaGoat to circumvent:

exchange geographic restrictions;
KYC or identity requirements;
account limitations;
sanctions;
trading restrictions;
regulatory requirements.

AlphaGoat may restrict functionality where reasonably necessary for legal, security, compliance, or operational reasons.

14. Fees, Subscriptions, and Payments

Certain AlphaGoat functionality may require a paid subscription or other payment.

Pricing, billing frequency, included features, and applicable taxes will be displayed before purchase.

If you purchase a recurring subscription, you authorize recurring charges until the subscription is cancelled in accordance with the applicable billing method.

Subscriptions purchased through an app store may also be governed by that app store's billing, cancellation, and refund rules.

Subscriptions purchased directly from AlphaGoat may be processed by a third-party payment provider.

Except where required by applicable law or expressly stated otherwise, fees already charged are non-refundable.

We may change subscription prices or features in the future. Where required, we will provide notice before changes affect an existing recurring subscription.

15. Acceptable Use

You must not:

use AlphaGoat for unlawful, fraudulent, abusive, or deceptive activity;
gain unauthorized access to another person's exchange account;
provide exchange credentials you are not authorized to use;
interfere with or disrupt AlphaGoat infrastructure;
bypass security, access-control, rate-limit, or authentication systems;
reverse engineer the Service except where such restriction is prohibited by law;
scrape or extract data through unauthorized automated methods;
introduce malware or harmful code;
use the Service in violation of sanctions or export restrictions;
misuse the Service in a way that could materially harm AlphaGoat, other users, exchanges, or third parties.

16. Intellectual Property

AlphaGoat and its software, source code, interface, designs, branding, documentation, graphics, trademarks, and related materials are owned by AlphaGoat or its licensors and are protected by applicable intellectual-property laws.

Subject to these Terms, AlphaGoat grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose.

These Terms do not transfer ownership of AlphaGoat intellectual property to you.

17. User-Submitted Content

You retain ownership of content that you submit to AlphaGoat.

You grant AlphaGoat a limited, worldwide right to host, transmit, process, reproduce, and technically modify submitted content where reasonably necessary to:

provide the Service;
perform signal parsing;
provide support;
maintain security;
diagnose technical problems;
improve reliability.

This license is limited to purposes related to operating and improving the Service and ends when the relevant information is no longer reasonably required, subject to legitimate retention obligations.

18. Service Availability and Changes

We aim to operate AlphaGoat reliably but do not guarantee uninterrupted or error-free availability.

The Service may be unavailable due to:

maintenance;
software updates;
exchange outages;
infrastructure failures;
network failures;
cybersecurity incidents;
third-party outages;
events outside our reasonable control.

We may modify, add, remove, suspend, or discontinue features where reasonably necessary.

Where a material change negatively affects a paid Service, we will provide notice where reasonably practicable or required by law.

19. Account Suspension and Termination

We may suspend, restrict, or terminate access to AlphaGoat if we reasonably believe that:

you violated these Terms;
your account presents a security risk;
your use is unlawful;
you are subject to applicable sanctions or restrictions;
continued access could harm AlphaGoat, users, exchanges, or third parties;
suspension is required by law or a competent authority.

You may stop using AlphaGoat at any time.

Where account deletion functionality is provided, you may initiate deletion through the Service or contact [email protected].

Termination does not affect rights or obligations that arose before termination.

Sections that by their nature should survive termination will continue to apply.

20. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis.

AlphaGoat does not warrant that:

the Service will always be available;
the Service will be error-free;
market data will always be accurate;
an order will execute;
a stop-loss will prevent loss;
an exchange API will remain operational;
signal parsing will always be correct;
use of AlphaGoat will produce profits or any particular trading result.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

21. Limitation of Liability

To the maximum extent permitted by applicable law, AlphaGoat and its directors, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including loss of profits, trading losses, loss of opportunity, loss of data, or loss arising from interruption of business.

Without limiting the foregoing, AlphaGoat is not responsible for losses resulting from:

market movements;
liquidation;
leverage;
slippage;
third-party exchange failures;
rejected or delayed orders;
API outages;
incorrect or delayed market data;
soft-stop execution failure;
incorrect signal parsing;
user configuration errors;
compromised third-party accounts;
actions taken by third-party exchanges.

Where liability cannot legally be excluded, AlphaGoat's aggregate liability arising out of the Service will, to the maximum extent permitted by law, not exceed the greater of:

the amount you paid AlphaGoat during the twelve months preceding the event giving rise to the claim; or
USD 100.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

22. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold AlphaGoat harmless from claims, losses, liabilities, and reasonable costs arising from:

your unlawful use of the Service;
your violation of these Terms;
your unauthorized use of another person's exchange account;
your violation of third-party rights;
information or content submitted by you in violation of law.

This provision does not apply to the extent a claim results from AlphaGoat's own conduct for which liability cannot legally be excluded.

23. Privacy

Our processing of personal data is described in the AlphaGoat Privacy Policy.

The Privacy Policy forms an important part of your relationship with AlphaGoat and should be reviewed before using the Service.

24. Changes to These Terms

We may update these Terms when necessary to reflect:

changes to the Service;
legal or regulatory requirements;
security requirements;
new functionality;
changes to our business or operations.

The updated Terms will be published with a revised “Last Updated” date.

Where required by law or where changes are materially significant, we will provide additional notice.

Continuing to use the Service after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.

25. Governing Law and Disputes

These Terms are governed by the laws of Ukraine, without regard to conflict-of-law principles.

Any mandatory consumer-protection rights available to you under the laws of your country of residence remain unaffected where applicable law does not permit those rights to be waived.

Subject to any mandatory rules applicable to consumers, disputes arising from these Terms or the Service will be submitted to the competent courts of Ukraine.

26. General Provisions

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions remain in effect.

Failure by AlphaGoat to enforce a provision does not constitute a waiver of that provision.

You may not assign your rights under these Terms without our consent where consent may lawfully be required.

AlphaGoat may assign these Terms in connection with a corporate restructuring, merger, acquisition, financing, or transfer of the Service, subject to applicable law.

These Terms, together with any policies expressly incorporated into them, constitute the agreement between you and AlphaGoat regarding use of the Service.
